Terms of Service

The rules and obligations that govern your use of the MedLync platform.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MedLync Technologies Ltd ("MedLync", "we", "our", or "us"), a company registered in Nigeria. By accessing or using the MedLync platform — including all products, APIs, mobile applications, and associated services (collectively, the "Platform") — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform. These Terms apply to all users of the Platform, including patients, healthcare providers, pharmacies, laboratories, health maintenance organisations (HMOs), developers, and government health agencies.

2. Eligibility

To use the Platform, you must: • Be at least 18 years of age, or have consent from a parent or legal guardian if you are a minor. • Have the legal capacity to enter into a binding agreement under Nigerian law. • Not be prohibited from using the Platform by applicable law. Healthcare providers and organisations must additionally hold all required licences, registrations, and regulatory approvals necessary to deliver healthcare services in Nigeria.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information. • Keep your credentials secure and confidential. • Notify MedLync immediately at support@medlync.io if you suspect unauthorised access to your account. • Accept responsibility for all activity that occurs under your account. MedLync reserves the right to suspend or terminate accounts where we have reason to believe credentials have been compromised or these Terms have been violated.

4. Platform Use — Patients

As a patient user, you may use the Platform to: • View, manage, and share your health records with authorised providers. • Grant and revoke consent for data access by healthcare providers. • Access your prescriptions, lab results, appointment history, and health identity. • Manage family health records where you are a registered guardian. You are responsible for the accuracy of information you provide and the consent decisions you make. MedLync is a technology platform — we do not provide medical advice, diagnoses, or treatment. Always consult a qualified healthcare professional for medical decisions.

5. Platform Use — Healthcare Providers

As a healthcare provider (hospital, clinic, laboratory, pharmacy, or specialist), you agree to: • Access only the patient records for which you have received valid consent or have a lawful basis under applicable law. • Use patient data solely for the provision of legitimate healthcare services. • Comply with all applicable Nigerian laws and regulations governing healthcare data, including the NDPR and guidelines issued by the Federal Ministry of Health (FMOH) and the National Health Insurance Authority (NHIA). • Not extract, store, or process patient data outside the Platform except as strictly required for direct care delivery. • Ensure that all staff who access the Platform through your account are properly trained and authorised. MedLync may audit provider access patterns and reserves the right to suspend provider accounts where misuse is detected.

6. API Access & Developer Terms

Access to the MedLync API is subject to a separate API agreement and the following additional conditions: • API keys must not be shared, publicly exposed, or embedded in client-side code. • Rate limits must be respected. Circumventing rate limiting is prohibited. • The API must not be used to extract, scrape, or aggregate patient data at scale for any purpose other than the approved integration use case. • All applications built on the MedLync API must comply with these Terms, our Privacy Policy, and applicable data protection law. MedLync reserves the right to revoke API access at any time for violations of these Terms or for any conduct that endangers the security or integrity of the Platform.

7. Prohibited Conduct

You must not: • Attempt to gain unauthorised access to any part of the Platform, other user accounts, or MedLync's systems. • Use the Platform to access, view, or share patient data without lawful consent or authority. • Introduce malware, viruses, or malicious code into the Platform. • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation. • Attempt to reverse engineer, decompile, or disassemble any part of the Platform. • Use automated tools to scrape, harvest, or bulk-extract data from the Platform. • Impersonate any person, healthcare provider, or organisation. • Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure. Violations may result in immediate account suspension, termination, and referral to relevant law enforcement or regulatory authorities.

8. Intellectual Property

MedLync and its licensors retain all intellectual property rights in the Platform, including software, algorithms, database structures, user interfaces, documentation, trademarks, and brand assets. Nothing in these Terms grants you any right, title, or interest in MedLync's intellectual property. You may use the Platform solely as permitted under these Terms and any applicable service agreement. Patient health data belongs to the patient. MedLync claims no ownership of patient health records processed through the Platform.

9. Availability & Service Levels

MedLync aims to maintain high platform availability in line with our published service level targets. However, we do not guarantee uninterrupted access to the Platform. We may perform scheduled or emergency maintenance that temporarily affects availability. For healthcare providers with a signed service agreement, applicable uptime commitments and remedies are set out in that agreement. General users acknowledge that the Platform is provided "as is" without uptime guarantees.

10. Disclaimer of Medical Advice

MedLync is a healthcare infrastructure platform. We are not a healthcare provider, medical practice, or clinical service. Nothing on the Platform constitutes medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other healthcare professional for any medical condition. In an emergency, contact emergency services immediately. MedLync is not liable for any clinical decisions made by healthcare providers or patients based on data accessed through the Platform.

11. Limitation of Liability

To the fullest extent permitted by applicable law, MedLync shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Platform. • Loss of data, profits, goodwill, or business opportunities. • Any clinical outcome or healthcare decision made by a provider or patient using information accessed through the Platform. Our aggregate liability to you for any claims arising out of these Terms or your use of the Platform shall not exceed the amounts paid by you (if any) to MedLync in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence.

12. Termination

You may close your account at any time by contacting support@medlync.io. MedLync reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, where: • You have violated these Terms. • We are required to do so by law or a regulatory authority. • Your account has been inactive for an extended period and you have not responded to reactivation notices. On termination, your right to access the Platform ceases. Your health data will be retained in line with our Privacy Policy and applicable legal retention obligations.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act (as amended). Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date and, for material changes, notify you via the Platform or by email. Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
